Puig stock (PUGBY:OTCPK) surged over 15% on Tuesday after Est\u00e9e Lauder confirmed it is in talks over a potential merger with the Spanish beauty group.<\/p>\n

The development revived investor excitement around a deal that could reshape the global prestige cosmetics market.<\/p>\n

However, the sources from the companies said that the deal is not finalized yet, and no agreement has yet been reached.<\/p>\n

The market reaction has been swift, as investors weighed the strategic fit between Est\u00e9e Lauder\u2019s beauty portfolio and Puig\u2019s stable of fragrance and fashion-led brands.<\/p>\n

Beauty powerhouse in the making<\/h2>\n

In financial terms, both companies have their own strengths as Est\u00e9e Lauder is expected to bring a greater scale while Puig has seen a stronger recent growth and cleaner profitability profile.<\/p>\n

Put together, the two businesses would create a beauty group with roughly $20 billion in annual sales and an implied value above $40 billion.<\/p>\n

Est\u00e9e Lauder\u2019s latest quarter shows the company stabilizing rather than fully recovered. The fiscal Q2 2026 sales were $4.229 billion, and the adjusted operating margin was 14.4%.<\/p>\n

The company returned to positive operating income after a loss a year earlier.<\/p>\n

Puig enters the talks from a stronger operating position.<\/p>\n

For FY2025, Puig posted record revenue of \u20ac5.042 billion and adjusted EBITDA of \u20ac1.045 billion (adjusted EBITDA margin of 20.7%).<\/p>\n

Moreover, the company posted a net profit of about \u20ac594 million and free cash flow of \u20ac664 million.<\/p>\n

So financially, the logic is complementary.<\/p>\n

Est\u00e9e Lauder contributes size and brand breadth, while Puig contributes faster growth, stronger cash generation, and balance-sheet flexibility.<\/p>\n

Why are analysts split on the merger?<\/h2>\n

The negotiations are coming at a difficult time as the analysts have noted some investor skepticism toward large transformational mergers.<\/p>\n

Citi analysts said shareholders have generally shown limited enthusiasm for deals of this scale.<\/p>\n

The analysts pointed to the muted or negative reactions in major transactions such as Keurig with JDE Peet\u2019s and Kimberly-Clark with Kenvue.<\/p>\n

In their view, a merger between Est\u00e9e Lauder and Puig may raise concerns around integration complexity, execution challenges, and operational demands.<\/p>\n

But Citi has also argued that the industrial logic could still be compelling.<\/p>\n

Analysts led by Filippo Falorni estimated that the transaction could generate synergies equivalent to about 5% of the target\u2019s sales, creating meaningful cost and revenue benefits over time.<\/p>\n

The deal could drive double-digit earnings-per-share growth in the first year, the analysts noted.<\/p>\n

Some optimistic analysts also pointed out that the near-term dilution fears may be outweighed by longer-term financial upside if integration is executed well.<\/p>\n

However, the Deutsche Bank took a more cautious reading and said Est\u00e9e Lauder\u2019s share price was clearly signaling investor unease over the prospect of such a large and complicated deal.<\/p>\n<\/p>\n
